What is Sell-side M&A?

Sell-side M&A covers the sale of 100%, a majority or minority interest in independent and private equity-owned, subsidiary and listed companies. What are the factors contributing to a successful Sell-side M&A process?

Great deals are the result of your adviser having a clear understanding of the stakeholders’ goals and priorities, rigorous preparation, deep sector knowledge and connectivity with the most relevant acquirers and investors, the creation of a thoughtful, collaborative but intensely competitive auction (unless a bilateral transaction) and effective project management from beginning to end.

Key components of Sell-side M&A

There are four key components of the process, which are preparing the business for the sale including identifying an audience of qualified buyers and investors, targeted and discreet marketing of the business to obtain initial offers, a second round involving more interaction with management and initial due diligence before obtaining final offers, and finally selecting a preferred counterparty with which to close the transaction, after completing detailed due diligence and the legal negotiations.
