Legal services at an inflection point: corporatisation and technology driving investment and consolidation

Consolidation is now the defining force in the legal services sector. In the first half of 2025 there were 41 M&A deals involving European legal services targets, up from 37 in H1 2024 and 18 in the first half of 2023, with the majority involving traditional full-service law firms.

Momentum continues to be driven principally by offensive, proactive M&A, as firms target acquisitions that add new capabilities, open entry into attractive end-markets, unlock lucrative cross-sell opportunities and accelerate growth through the right partnerships.

This marks a clear break from the sector’s historical M&A approach, where deals often focused on building scale for resilience and survival. Today, leadership teams are more selective, pursuing acquisitions that deliver long-term strategic advantage rather than defensive bulk. Nevertheless, underpinning all of this is the recognition that scale is a key competitive advantage as it becomes easier to justify investment in technology and broader operating platforms.

Private equity remains central to this story. Established platforms are pursuing ambitious buy-and-build strategies, while new investors are backing disruptive models and technology-led operators. Corporatisation is generally the facilitator for accessing capital, and this shift away from the LLP model is therefore gathering pace. This is giving partners the ability to de-risk through partial cash-outs, unlock capital liquidity events and put in place more robust governance structures by bringing in external advisers. Importantly, corporatisation also facilitates succession planning, enabling leadership teams to manage generational change and shift the focus from annual profit sweeps towards longer-term value creation.

Technology adoption - particularly in workflow automation and generative AI - is increasingly the decisive factor for both clients and investors. Yet many mid-market firms still lack the digital infrastructure to deliver consistency, leaving them exposed to churn and at risk of falling behind.

For investors, the opportunity lies in backing scalable, tech-oriented firms with management teams that have a clear vision and ambition to define the future of legal services.
